The “Sweetwater Sessions” service agreement is managed, operated, and upheld by DT Market Research, a company based in Cyprus. DT Market Research is the sole legal entity responsible for the execution of the agreement, including managing and overseeing invoicing and payments, and ensuring compliance with the terms outlined. DT Market Research assumes full liability for the proper fulfillment of the service and all legal responsibilities associated with the collaboration.

Service Overview

“The Sweetwater Shallows” provides professional music production services, including arranging, recording, mixing, and mastering. Clients submit original compositions, and we produce fully realized recordings based on the agreed scope of work.

Copyright, Ownership & Intellectual Property Protection

1. Client Ownership: The songwriter (client) retains full copyright ownership of their submitted composition (lyrics and melody).

2. Work-for-Hire Agreement: Unless agreed otherwise, all musical contributions made by the Sweetwater Sessions and affiliated musicians will be treated as "work-for-hire," meaning all rights to the final production are transferred to the client upon full payment.

3. Client Responsibility: The client must ensure they own or have full rights to the submitted composition and that no unauthorized samples or copyrighted material are included. The Sweetwater Sessions assumes no liability for copyright disputes.

Intellectual Property Protection & Confidentiality:

1. DT Market Research is committed to safeguarding the client's intellectual property throughout the entire production process.

2. Any proprietary or confidential materials shared by the client will be treated with the utmost confidentiality and used solely for the purpose of fulfilling this agreement.

3. DT Market Research will not disclose or use any confidential materials for any reason other than the execution of this agreement, except for promotional purposes in the company’s portfolio of completed works.

License & Usage Rights:

1. The “Sweetwater Shallows” may use short snippets of the final production for promotional purposes unless the client explicitly requests otherwise in writing.

2. DT Market Research does not claim ownership of any part of the composition or final production.

Revisions, Delivery & Timeframes:

1. Revisions: Up to 2 revisions of each instrument recording are included for each project. Revisions are allowed only within the scope of the delivered recordings that derive from the client brief and references. If new recordings are requested that clearly take the musical part (stem) in a different direction, additional fees may apply. These fees will be agreed upon in advance and charged based on the complexity and specific requirements of the client.

2. Delivery & Timeframes: Turnaround times will be estimated before project initiation and are subject to workload and complexity

   • Additional revisions may effect the agreed delivery date of the project.

   • Clients are required to provide feedback or approval within 2 days of receiving each deliverable. Delays in client response may result in an extension of the project deadline and additional charges.

Payments, Refunds, Force Majeure, and Final Deliverables:

All billing and legal aspects of the collaboration are managed under DT Market Research.

1. Payment Terms: Payment for each project is required in three milestone installments. The first payment is due upon assignment, the second upon approval of the audio files that derive from the first recording session, and the final payment upon project completion. Final mastered files are only provided to the client once the third and final installment has been completed.

2. Payment and Project Initiation: Payments are be made via online bank transfer. Projects only begin once the contract that is specific to the project is accepted through our online system and the first installment has been received.

3. Refund Policy: Payments are non-refundable once production has started, except in cases where the Sweetwater Sessions is unable to fulfill the service.

4. Force Majeure: DT Market Research will not be held liable for any delays or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, or government regulations. In the event of a force majeure occurrence, both parties will be given a reasonable extension of time to fulfill their obligations under this agreement.

5. Final Deliverables: Final deliverables, including audio files and marketing materials, will be provided in their final form for usage. Source files can also be made available upon completion, but are subject to additional fees.

Liability & Indemnification:

1. DT Market Research is not responsible for any legal disputes regarding the ownership or copyright status of submitted materials. The client agrees to indemnify and hold harmless DT Market Research from any claims arising from the submitted work.

2. The service is provided "as is," without warranties of any kind regarding commercial success or third-party acceptance.

Client's Responsibilities & Approval:

1. Client's Responsibilities: The client agrees to provide timely feedback, necessary materials, and responses as required for the project. Failure to provide necessary materials or feedback within the agreed timeframe may result in delays, and such delays may incur additional charges or adjustments to the project timeline.

2. Final Approval: Upon each milestone delivery, the client is responsible for reviewing and approving the work. The client must provide feedback or approval within 2 business days. Any changes requested after the final approval are subject to additional fees and will be treated as a new request for service.

Termination:

1. DT Market Research reserves the right to refuse or terminate service if a project violates copyright laws, contains offensive material, or is otherwise deemed inappropriate.

2. Clients may cancel a project before production begins for a full refund. Once production has started, cancellations will be subject to partial refunds based on work completed.

Governing Law:

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Cyprus. Any disputes shall be resolved through mediation or legal proceedings in the relevant jurisdiction.
